Digital Directive offers digital marketing and advertising services including paid media management, brand advertising, performance marketing, analytics, and conversion rate optimisation. The scope of services for each client is defined by a separate agreement or proposal agreed upon in writing.
Clients are responsible for providing accurate information, timely feedback, and any assets or access required for Digital Directive to perform its services. Delays caused by a client's failure to provide required materials may affect timelines and outcomes, and Digital Directive shall not be liable for such delays.
Fees for services are agreed upon prior to commencement and outlined in the relevant proposal or contract. All invoices are due within the timeframe specified. Digital Directive reserves the right to pause or terminate services for accounts with outstanding balances.
All creative work, strategies, and materials produced by Digital Directive remain the intellectual property of Digital Directive until full payment is received. Upon payment, clients receive a licence to use the deliverables as agreed. Digital Directive retains the right to reference completed work in its portfolio unless otherwise agreed in writing.
Both parties agree to keep confidential any proprietary information, strategies, or business data shared during the course of the engagement. This obligation survives the termination of any service agreement.
Digital Directive provides services on a best-efforts basis. While we work diligently to achieve agreed KPIs, we cannot guarantee specific results in advertising or marketing, as outcomes may be influenced by factors outside our control. Our total liability to any client shall not exceed the fees paid in the three months preceding the claim.
Either party may terminate a service agreement with 30 days written notice. Digital Directive reserves the right to terminate immediately in cases of non-payment, breach of these terms, or conduct that conflicts with our values.
These Terms of Service shall be governed by and construed in accordance with applicable law in the jurisdiction where Digital Directive is registered. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through appropriate legal proceedings in that jurisdiction.
We reserve the right to update these Terms of Service at any time. Material changes will be communicated to active clients. Continued use of our services following any changes constitutes acceptance of the revised terms.
